Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you, whether personally or on behalf of an entity ("you"), and Ravenstack Pte. Ltd. ("Ravenstack", "Company", "we", "us", "our"), a company incorporated in Singapore (UEN 202131628D), governing your access to and use of the website at ravenstack.com and its subdomains (the "Site") and the bespoke AI design, build, and advisory services we provide (together with the Site, the "Service").

By accessing the Site, you agree that you have read, understood, and accepted these Terms. If you do not agree, you must discontinue use of the Site immediately. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

The Service & engagements

Ravenstack designs and builds bespoke AI systems for founders, operators, and companies. The Site provides information about our work and a way to contact us. Nothing on the Site is an offer, quote, or commitment to perform services; any engagement is governed by a separate written agreement (such as a statement of work or master services agreement) executed between you and Ravenstack, which will control in the event of any conflict with these Terms in respect of that engagement.

Eligibility

You must be at least 18 years old and have the legal capacity to agree to these Terms. You agree to provide accurate information when you contact us, and to use the Site only for lawful purposes and in accordance with these Terms.

Fees

Access to the Site is provided free of charge. Fees, payment terms, and refund arrangements for any commissioned services are set out in the separate written agreement for that engagement and are not governed by these Terms. Except as stated in that agreement or required by law, fees are exclusive of taxes.

Acceptable use

You agree not to:

• use the Site for any unlawful, infringing, deceptive, harassing, or malicious purpose, or in violation of any applicable law or regulation;
• systematically retrieve, scrape, or harvest data or content from the Site to build a collection, database, or directory without our written permission;
• use bots, scripts, data-mining, or other automated means to access the Site, or otherwise interfere with, disrupt, or place an undue burden on the Site or its supporting infrastructure;
• circumvent, disable, or interfere with security-related features of the Site, or attempt to gain unauthorized access to it or any connected systems; or
• impersonate any person or entity or misrepresent your affiliation with any person or entity.

We may suspend or restrict access to anyone who violates these rules or who threatens the security or integrity of the Service.

Your content & confidentiality

You retain ownership of the information and materials you provide to us. You grant us a limited license to use that material solely to respond to your inquiry and to operate and deliver the Service for you. Confidential information exchanged in connection with an engagement is handled in accordance with the confidentiality or non-disclosure terms of the relevant engagement agreement.

AI-generated content

Our Service uses AI to research, generate, and draft content. AI output may be inaccurate or incomplete. Where AI-generated material is produced through the Site or delivered as part of an engagement, you are responsible for reviewing it before relying on it, and any specific allocation of responsibility for deliverables is governed by the relevant engagement agreement.

Intellectual property

The Site, including its software, source code, design, text, graphics, and the Ravenstack name, logos, and trademarks (collectively, the "Content"), is owned or licensed by Ravenstack and protected by copyright, trademark, and other laws of Singapore and other countries. Except as expressly permitted, no part of the Content may be copied, reproduced, republished, distributed, or otherwise exploited for any commercial purpose without our prior written permission. Ownership of work product created under an engagement is governed by the relevant engagement agreement.

Third-party services

The Site and our Service rely on third-party services (for example, Anthropic, Amazon Web Services, and Cloudflare). Your use of those services may also be subject to their own terms, and we are not responsible for them.

Disclaimer

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation of the Site, the accuracy or completeness of its content, or any particular results. To the fullest extent permitted by law, we assume no liability for any errors or inaccuracies of content, any unauthorized access to our systems, any interruption of transmission, or any malware transmitted through the Site by a third party.

Limitation of liability

To the maximum extent permitted by law, Ravenstack and its directors, employees, and agents will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Site, even if advised of the possibility of such damages. Liability arising out of any commissioned services is governed by, and subject to the limitations in, the relevant engagement agreement.

Indemnification

You agree to defend, indemnify, and hold harmless Ravenstack, including its subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of a third party.

Termination

You may stop using the Site at any time. We may suspend or terminate your access to the Site at any time, without notice, for breach of these Terms or to protect the Service. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

Governing law & disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Site.

Changes

We may update these Terms from time to time. Material changes take effect on posting (or as otherwise stated), reflected by the "Last updated" date above. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
